Terms of Service
These Terms of Service ("Terms") govern your access to and use of Soontra's websites, applications, products, APIs, dashboards, collaboration tools, analytics tools, AI features, storage features, and related services (collectively, the "Service"). "Soontra," "we," "us," and "our" mean Soontra, headquartered in Miami, Florida, United States.
By creating an account, clicking to accept these Terms, connecting a third-party account, accessing the Service, or using the Service, you agree to these Terms. If you use the Service on behalf of a company, agency, team, brand, or other organization, you represent that you have authority to bind that organization, and "you" includes that organization.
If you do not agree to these Terms, do not use the Service.

The Service
Soontra is a workspace platform for creators, creative teams, agencies, and content operators. The Service may include project management, file storage, media review, document collaboration, workflow tools, semantic search, AI-assisted analysis, social analytics dashboards, billing management, notifications, and other related features.
We may add, change, suspend, or discontinue features at any time. Some features may be beta, experimental, invite-only, usage-limited, or available only on certain plans.
Eligibility
You must be at least 18 years old and able to enter into a binding agreement to use the Service. You may not use the Service if applicable law prohibits you from doing so.
During private beta, soft launch, or other limited launch periods, access may require an invite code, domain allowlist, manual approval, or other eligibility control. We may approve, deny, suspend, or revoke access at our discretion.Verification
Users must provide a valid email address and complete the verification process.
Accounts and security
You must provide accurate account information and keep it current. If you sign up with email and password, your password must satisfy the requirements shown in the product, which may include minimum length and character-complexity rules. If you use Google OAuth or another identity provider, that provider's terms and policies also apply.
You are responsible for maintaining the confidentiality of your credentials and for all activity under your account, workspace, API credentials, sessions, and connected integrations. Notify us promptly at info@soontra.com if you believe your account or workspace has been compromised.
We may require email verification, CAPTCHA or abuse-prevention checks, reauthentication, rate limits, login lockouts, or other security controls. For example, accounts may be temporarily locked after repeated failed login attempts.
workspaces, roles, and administration
Soontra workspaces may include owners, admins, and members. Workspace owners and admins can manage workspace settings, members, billing, integrations, files, projects, and other workspace resources depending on their role and plan.
Workspace owners and admins are responsible for:
Inviting only authorized users.
Assigning appropriate roles and permissions.
Removing users who should no longer have access.
Managing connected YouTube, TikTok, Instagram, and other third-party accounts.
Reviewing AI agent actions and workspace activity.
Ensuring that workspace content may lawfully be uploaded, processed, shared, and analyzed in Soontra.
If you are added to a workspace by someone else, the workspace owner or admin may be able to access, control, export, delete, or restrict content and activity associated with that workspace.
User Content
"User Content" means files, videos, audio, images, documents, comments, project data, workspace data, prompts, instructions, connected-platform analytics, and other information that you or your workspace users submit, upload, import, connect, generate, or make available through the Service.
As between you and Soontra, you retain ownership of your User Content. You grant Soontra a worldwide, non-exclusive, royalty-free license to host, store, copy, process, transmit, display, analyze, index, modify for technical formatting, and otherwise use User Content as needed to provide, secure, maintain, support, and improve the Service, including AI, analytics, search, transcription, moderation, collaboration, storage, and workflow features.
You represent and warrant that:
You have all rights, licenses, consents, and permissions needed to submit User Content to the Service.
Your User Content and use of the Service will not violate law, third-party rights, platform terms, confidentiality obligations, privacy rights, publicity rights, or intellectual property rights.
You will not upload or process content that you are prohibited from sharing with Soontra or its service providers.
Acceptable Use
You may not use the Service to:
Violate any law, regulation, court order, contract, platform policy, or third-party right.
Upload, create, store, or distribute unlawful, exploitative, abusive, harassing, hateful, deceptive, infringing, malware-related, or otherwise harmful content.
Attempt to access another user's account, workspace, data, tokens, files, or systems without authorization.
Circumvent usage limits, billing limits, storage limits, rate limits, security controls, moderation controls, or access restrictions.
Scrape, reverse engineer, overload, interfere with, or disrupt the Service or any third-party platform.
Use the Service to build or train a competing product in violation of these Terms.
Use connected-platform data for surveillance, unlawful discrimination, credit decisions, lending decisions, targeted advertising, data brokerage, or resale.
Misrepresent Soontra, connected platforms, AI output, analytics data, or your authority to connect a third-party account.
We may investigate suspected violations and may remove content, restrict features, suspend accounts, quarantine files, disable integrations, or terminate access where we believe it is necessary to protect users, Soontra, third parties, connected platforms, or the Service.
Third Party Services and Integrations
The Service may integrate with third-party services, including YouTube, Google, TikTok, Instagram, Meta, Stripe, storage providers, infrastructure providers, analytics providers, communication providers, security providers, and AI-related providers.
Third-party services are not controlled by Soontra. Their terms, privacy policies, API limits, app-review requirements, outages, pricing, permissions, and technical changes may affect the Service. We are not responsible for third-party services, and we do not guarantee that any integration will remain available.
When you connect a third-party account, you authorize Soontra to access, store, process, and use the data made available through that connection for the Service features you enable. You may disconnect integrations in Soontra settings where supported, and you may also revoke access through the third-party platform's own account or security settings.
Only workspace owners and admins may connect or disconnect workspace-level social integrations unless the product states otherwise.
Youtube integration
Soontra's YouTube integration is designed for read-only analytics and metadata features. By using the YouTube integration, you agree to comply with the YouTube Terms of Service, YouTube API Services Terms of Service, YouTube API Services Developer Policies, Google APIs Terms of Service, and Google API Services User Data Policy.
Soontra currently requests read-only YouTube-related Google OAuth scopes for analytics and channel metadata, including:

Soontra uses YouTube API data to provide user-facing features such as channel dashboards, performance metrics, trend reporting, audience insights, traffic-source reporting, AI-assisted summaries, workspace analytics, and related support and security functions.
Soontra does not use the YouTube integration to upload videos, publish content, modify channel metadata, manage playlists, post comments, send messages, delete channel content, or otherwise mutate your YouTube channel.
You may revoke Soontra's access through Soontra settings or through your Google account security settings. If access is revoked, expires, or is no longer valid, YouTube features may stop working until you reconnect.
TikTok integration
Soontra's TikTok integration is designed for read-only profile, account-statistics, and public-video analytics features. By using the TikTok integration, you agree to comply with TikTok's applicable terms, policies, developer terms, and API requirements.
Soontra currently requests TikTok OAuth scopes that may include:
user.info.basicuser.info.statsvideo.list
Soontra uses TikTok data to provide user-facing analytics such as account summaries, follower and engagement metrics, public-video lists, video performance counters, trend reporting, workspace analytics, AI-assisted summaries, and related support and security functions.
Soontra does not use the TikTok integration to publish videos, upload drafts, modify profile data, manage comments, send messages, access inbox content, run ads, or otherwise mutate your TikTok account.
You may disconnect TikTok in Soontra settings where available and may revoke authorization through TikTok's own app or account settings where TikTok provides that control.
Instagram integration
Soontra's Instagram integration is designed for read-only analytics for eligible Instagram Business or Creator accounts. By using the Instagram integration, you agree to comply with Meta's and Instagram's applicable terms, platform terms, developer policies, and API requirements.
Soontra currently requests Instagram API with Instagram Login scopes that may include:

Soontra uses Instagram data to provide user-facing analytics such as account profile details, media details, account insights, media insights, reach, views, engagement, audience and growth signals, AI-assisted summaries, workspace analytics, and related support and security functions.
Soontra does not use the Instagram integration to publish content, upload media, manage comments, send messages, search hashtags, manage ads, access direct messages, or otherwise mutate your Instagram account.
You may disconnect Instagram in Soontra settings where available. Meta may also notify Soontra if you remove Soontra's access or request data deletion through Meta or Instagram controls. When Soontra receives a valid Meta deauthorization or data deletion callback, Soontra processes it according to our Privacy Policy and applicable platform requirements.
AI features
Soontra may provide AI-assisted features, including an AI agent, semantic search, transcription, visual analysis, content summaries, content recommendations, analytics explanations, workflow assistance, and clip or content repurposing tools.
AI features may use User Content, connected-platform data, prompts, workspace context, usage data, and generated outputs to provide user-facing results. We may use third-party AI, transcription, embedding, moderation, infrastructure, and related service providers to operate these features. We may change providers, models, routing, prompts, limits, and feature behavior at any time.
AI outputs may be inaccurate, incomplete, outdated, offensive, biased, or unsuitable for your use case. AI-generated transcripts, descriptions, scores, recommendations, forecasts, summaries, analytics explanations, and "virality" or performance assessments are not guaranteed.
The AI agent may execute "Page Actions," control UI elements, call workspace tools, create or update workspace resources, search files, summarize data, and perform other actions based on your natural-language instructions and the permissions available in your workspace. You are responsible for reviewing instructions before submitting them and for supervising AI actions and outputs. Do not instruct the AI agent to take an action unless you are authorized and prepared for that action to be performed.
AI features do not provide legal, tax, financial, medical, employment, or other professional advice. You are responsible for your final decisions, creative work, publications, business actions, and platform compliance.
Plans, billing, credits, and storage
Soontra may offer free, paid, trial, promotional, usage-based, add-on, or enterprise plans. Available plans may include Free, Starter, Creator, Studio, or other plans. Exact features, quotas, storage limits, AI minutes or credits, seats, file size limits, prices, taxes, renewal terms, and billing intervals are shown in the Service, checkout flow, order form, or written agreement that applies to your workspace.
You authorize Soontra and its payment processor to charge all amounts due for your selected plan, add-ons, taxes, and usage. Unless a separate written agreement says otherwise, subscriptions renew automatically until canceled. You must keep billing information accurate and current.
If payment fails, if a subscription is canceled, if a charge is disputed, if usage exceeds limits, or if a workspace is downgraded, we may reduce features, disable uploads, restrict storage, pause processing, disable AI features, remove add-on entitlements, or suspend access until the issue is resolved.
Credits, AI minutes, usage allowances, storage quotas, and promotional benefits may expire, reset, or be forfeited according to the applicable plan or offer. They have no cash value unless required by law.
Except where required by law or expressly stated in the applicable checkout flow, order form, or written agreement, fees are non-refundable. We may choose to provide refunds or credits at our discretion, but doing so once does not require us to do so again.
Feedback
If you provide feedback, ideas, suggestions, bug reports, or recommendations, you grant Soontra a perpetual, worldwide, irrevocable, royalty-free license to use them without restriction or compensation.
Privacy
Our Privacy Policy explains how we collect, use, disclose, and retain information. By using the Service, you acknowledge our Privacy Policy.
Security
We use technical and organizational measures designed to protect the Service, but no service is perfectly secure. You are responsible for using strong credentials, limiting access to trusted users, configuring workspace roles correctly, and securing your own devices, networks, and third-party accounts.
Beta and preview features
Beta, preview, experimental, or early-access features may be incomplete, unavailable, inaccurate, or changed without notice. We may modify, suspend, limit, or discontinue them at any time. Beta features are provided for evaluation and may be subject to additional restrictions.
Suspension and termination
You may stop using the Service at any time. You may delete your account or workspace where the Service provides that option, subject to workspace ownership, billing, legal, security, moderation, and technical limits.
We may suspend or terminate your account, workspace, integrations, or access to the Service if we believe:
You violated these Terms or applicable law.
Your use creates risk for Soontra, users, connected platforms, or third parties.
Your payment is overdue or disputed.
Your account, workspace, content, or integration appears compromised or abusive.
A connected platform, service provider, court, regulator, or rights holder requires or reasonably requests action.
We discontinue the Service or a relevant feature.
Upon termination, your right to use the Service ends immediately. Sections intended to survive termination will survive, including ownership, license, billing, disclaimers, liability limits, indemnity, governing law, and dispute provisions.
Copyright and intellectual property complaints
Soontra respects intellectual property rights. If you believe content in the Service infringes your rights, contact us at info@soontra.com with enough information for us to identify the content, the rights at issue, and how to contact you. We may remove or restrict access to content and may terminate repeat infringers where appropriate.
Disclaimers
The Service is provided "as is" and "as available." To the maximum extent permitted by law, Soontra disclaims all warranties, express or implied, including implied warranties of merchantability, fitness for a particular purpose, title, non-infringement, availability, accuracy, and uninterrupted or error-free operation.
We do not warrant that:
The Service will meet your requirements.
The Service will be secure, uninterrupted, or error-free.
AI output, analytics, search results, transcripts, visual descriptions, recommendations, or connected-platform data will be accurate or complete.
Third-party integrations will remain available.
Uploaded content or generated outputs will be free from loss, corruption, or unauthorized access.
You are responsible for maintaining independent backups of important content.
Limitation of liability
To the maximum extent permitted by law, Soontra and its affiliates, officers, directors, employees, contractors, service providers, and licensors will not be liable for indirect, incidental, special, consequential, exemplary, punitive, or enhanced damages; lost profits; lost revenue; lost business; lost goodwill; data loss; content loss; platform-account impact; or cost of substitute services, even if we knew or should have known that such damages were possible.
To the maximum extent permitted by law, Soontra's total liability for all claims relating to the Service or these Terms will not exceed the greater of:
The amounts paid by you to Soontra for the affected workspace during the 12 months before the event giving rise to liability.
USD $100.
Some jurisdictions do not allow certain limitations, so some limitations may not apply to you.
Indemnity
You will defend, indemnify, and hold harmless Soontra and its affiliates, officers, directors, employees, contractors, service providers, and licensors from and against claims, damages, liabilities, losses, costs, and expenses, including reasonable attorneys' fees, arising out of or related to:
Your User Content.
Your use of the Service.
Your connected third-party accounts.
Your violation of these Terms.
Your violation of law or third-party rights.
Your workspace users' actions.
Your misuse of AI outputs, analytics, platform data, or third-party integrations.
Changes to these Terms
We may update these Terms from time to time. If changes are material, we will provide notice through the Service, email, or another reasonable method. The updated Terms will become effective when posted or as stated in the notice. Your continued use of the Service after the effective date means you accept the updated Terms.
Governing law and venue
These Terms are governed by the laws of the State of Florida, excluding conflict-of-law rules. The state and federal courts located in Miami-Dade County, Florida will have exclusive jurisdiction over disputes arising from or relating to these Terms or the Service, except where applicable law requires a different venue.
